Special Terms and Conditions
Bonus Payment:
The Parties agree that if:
(a) the Merchant has provided the Merchant Offering in accordance with the Framework Terms;
(b) after taking into account Vouchers that have been refunded or otherwise invalidated (including as a result of a site transition within the Merchant group), at least 55% of the remaining Vouchers sold have been redeemed; and
(c) the Merchant is not subject to an order for winding up or has had administrators appointed over it,
in each case as at the end of the Redemption Period, then Groupon shall remit a bonus payment to the Merchant as additional consideration for such redeemed Vouchers. The bonus payment shall be calculated as an amount equal to 75% of the Remittance Amount that would have been due to the Merchant if the Vouchers that are not redeemed and not refunded (''Outstanding Vouchers'') had been so redeemed. Groupon shall make the bonus payment within 8 weeks of the end of the Redemption Period applicable to the Outstanding Vouchers.
